Terms and Conditions

Clause 1 - PREAMBLE

Age-It settles its products' limits and conditions of use in the "User License" attached to the invoice delivered to the Customer after each transaction. The Selling Terms and Conditions in question exclusively apply between Age-It Company, LLC with a capital of € 4.500.- 11, rue Martin Bucer F-67000 STRASBOURG FRANCE (hereunder "Age-It"), and any person visiting or purchasing products on the Websites www.free-music-store.com, www.oyoboo.com and www.musiquequitable.com or any other Website belonging to Age-It (herunder "The Customer").

The Internet user can familiarize himself with the selling Terms and Conditions on the Websites www.free-music-store.com, www.oyoboo.com and www.musiquequitable.com. These Selling Terms and Conditions being subject to amendment, applicable conditions are those in effect on these Websites on the date the order is placed. To confirm the order, you must tick the box "I have read, I understand and I accept the Terms of Sale" certifying thereby that you have read, understood and accepted, the terms of the Selling Terms and Conditions in question.

Clause 2 - RIGHT OF USE

Age-It has been granted right of use of the musical works it offers. Works composers are not SACEM (Société des auteurs, compositeurs et éditeurs de musique, the author and publisher collecting society) subscribers and have committed themselves contractually not to register it at this agency or any other agency with similar purposes. Indeed, the agencies in question (SACEM, SDRM etc) are not entitled to claim any license fee or remuneration of any kind from the Customer. TV, cinematic and National Radio broadcast, video game use as well as insertion in a ringtones catalogue of the musical works proposed are not allowed.

Clause 3 - PERSONAL USE LICENSE

Age-It supplies its Customer with the titles he/she selected in his/her basket against payment of the amount specified. The customer then becomes "Licensee" by Age-It which grants him/her the non-exclusive right to entirely or partly incorporate, diffuse, copy, modify and distribute the work for which he/she has acquired the License. Age-It does not garantee any exlusivity to the Customer on works for which he/she chose to buy the Personal Use Licenses. The Customer is allowed to cede or resell his/her Personal Use License to a third party. License is specified with a name and valid in the whole country.

3.1 - General License

Musical works in question are designed for audiovisual applications sound decors (company videos, ambience music, phone hold,...) and multimedia applications sound decors (local radio spots, promotional DVD and CD Rom, website sound decors, non-commercial computer softwares, insertion in diaporamas,...) and cannot be their main element without Age-It Company's authorization.

3.2 - Special License

License for Cinema, National Radio, advertising, ringtone sale and video games. If your productions are designed for a TV and/or cinematic network, for national radio use, for insertion into a ringtones catalogue or for integration in a commercial video game, please contact Age-It Company for a Special License at a negotiable marked up rate.

Clause 4 - TERM OF LICENSE

The license will be granted for a duration of 99 years from the date of approval by Age-It of the Customer's subscription. One month prior to termination, the Customer will be notified by email or post. On termination, granted licenses will expire and their use would constitute an infraction, unless expressly allowed by the Age-It Company.

Clause 5 - PRICE

Licenses sales prices are settled by Age-It Company. They can be modified any time and without notice, although the change would not affect Personal Use licenses already granted to customers. Fares are supplied in Euros.

This price covers:

  • Free access to download products bought by the Customer.
  • The license that allows to use and diffuse products bought by the Customer, under the conditions described in Clause 3.

Clause 6 - CANCELLATION PERIOD

In accordance with clause L121-20-2 of the Consumption Code, the buyer has the right to cancel his/her order for a period of 7 days from reception of ordered good. If the buyer uses his/her right to cancel, Age-It Company is committed to refunding the amounts payed within 30 days after return of bought good. To the exclusion of any other compensation.

However, as far as downloaded audio files are concerned, given those are immediately reproducible, the buyer will be unable to use his/her right of cancellation.

Clause 7 - ORDER - DELIVERY

To submit an order, the Customer declares to be over 18 y.o. and to have legal capacity or to hold a parental authorization allowing him/her to submit an order on www.free-music-store.com., www.oyoboo.com , www.musiquequitable.com and/or all other website belonging to Age-It Company. Any order on www.free-music-store.com., www.oyoboo.com , www.musiquequitable.com and all other website belonging to Age-It Company requires to open a free user account.

Opening a user account implies tacite Customer authorization to being referenced as "Customer" on all websites belonging to Age-It Company. Customer is advised that he must provide Age-It with a valid email address, where he can receive HTML format emails, during registration.

Delivery is carried out through downloading.

An email is sent to the address provided by the Customer during registration, after full payment of all taxes comprises par le Client. This email is your order acceptance and therefore forms the sales agreement between Age-It and the Customer.

A Personal Use Licence outlining both parties' commitments is attached to this letter. Some Anti-spams softwares prevent from receiving dynamic emails sent from websites. If a protection software and/or a mail reception software prevented from receiving the order confirmation email sent by Age-It, no complaint could be addressed to Age-It by the Customer.

Clause 8 - WARRANTY AND LIMITATION OF LIABILITY

Age-It covers the customer for any defect or fault affecting distributed musical works. Defects or faults must be reported within the 7 (seven) days following License purchase.

In this case, Customer will be granted the right to chose between the two following options:

  • full refund of the price
  • replacement of faulty product(s)

To the exclusion of any other compensation.

In addition, neither Age-It , or any other person involved in works distribution by Age-It, is likely to be blamed for damages undergone by the Licensee due to reception, use, or impossible use of the works. Regarding technical commitments failing to Age-It Company by virtue of these clauses, the latter is only bound to a mere duty-based service. Thus, due to the Web features and limits, which the Customer certifies to know fully, Age-It Company will not be liable for, namely, and not exhaustively:

  • problems to access portal(s) due to network overloading at specific times or connexion instability/volatility with his/her Internet Service Provider;
  • possible password or Personal Identification Number embezzlement, and more generally speaking, of any information that is sensitive to the Customer;

The same is true for any direct or indirect disservice, of any kind, due to a failure or to a bug of the Company's computer network, or to a Web dysfunction on which Age-It Company has no control. Age-It does its best in order to guaranty its website protection against virus attacks. However in the event of website hacking and/or file infection by a malevolent person, Age-It will not be liable for possible damages undergone by the Customer.

Customer acknowledges that the License(s) price includes allocation of these risks. He/she accepts that compensation value for disservice is limited to the amount payed for License(s) at issue.

In addition, Customer acknowledges and accepts that he/she is not in any case entitled to a refund of the cost of his/her phone calls to Age-It Compagny, or one of its subsidiary companies, and regarding an information, help or complaint request.

Clause 9 - BREACH OF CONTRACT

The license Agreement delivered by Age-It , becomes automatically void in the event of a violation of obligations regarding said Selling Terms and Conditions by the Licensee.

The Licensee will then have to cease immediately any production, sale, rent or distribution of products using works ceded by Age-It.

Age-It will bring suit against violators.

Clause 10 - PERSONAL DATA PROTECTION

All personal data collected by Age-It are treated accordinly to the provisions of the French law of January 6th 1978 addressing digital data and personal information, as modified by law of 6th August 2004.

As a result, any Age-It Customer has a droit de veto, a right to access, modify, rectify and delete any data refering to him/her.

Clause 11 - DIVISIBILITY OF THE PRESENT DOCUMENT

For all stipulations of the Selling Terms and Conditions, if any or some provisions turn out to be void or not suitable for fulfilment, it shall not in any way affect or jeopardize the validity of any other provisions, and none of the parties shall be entitled to claim damages from the other as a consequence of it. Parties shall negotiate bona fide in order to substitute provisions in question with provisions that are valid and suitable for fulfilment, as close as possible to the parties' common intention.

Clause 12 - DISPUTES RESOLUTION AND APPLICABLE LAW

In the event of conflicts arising between the parties during document fulfilment and not resolved by amicable agreement, the dispute shall be subject to settlement by the President of the Bankruptcy Court competent in the area of Age-It head office, as much for enforcement of the above provisions as for resolution of any other matters.

Present Selling Terms and Conditions are governed by the French law in every particular, principal, secondary or subsidiary.
